By accessing or using the Sevana Health website (www.sevanahealth.com) and our healthcare compliance automation platform services ("Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms apply to all visitors, users, and others who access or use our Services.

You agree to provide accurate information, maintain account security, and notify us promptly of unauthorized use.

Acceptable Use

You agree not to violate laws, transmit harmful content, gain unauthorized access, disrupt Services, reverse engineer, scrape data, or share credentials improperly.

4. Intellectual Property Rights

All content on our Services is the property of Sevana Health or its licensors. You may not copy, distribute, or modify it without written permission.

5. Healthcare Compliance Services

Our Services assist with compliance management but do not provide legal, medical, or professional advice. You remain responsible for your organization's compliance.

6. Payment Terms

If you purchase paid Services, you agree to pay fees according to the pricing and payment terms presented. Fees are non-refundable unless otherwise stated.

7. Privacy and Data Protection

Your use of our Services is subject to our Privacy Policy. For Services involving PHI, we will enter into a Business Associate Agreement (BAA) as required by HIPAA.

8. Confidentiality

We agree to maintain the confidentiality of any non-public information that you provide to us in connection with the Services ("Confidential Information") and will use such information only as necessary to provide the Services or as otherwise permitted under these Terms. We will protect Confidential Information using reasonable administrative, technical, and physical safeguards consistent with industry standards. Confidential Information does not include information that (a) is or becomes publicly available through no fault of ours, (b) we receive lawfully from another source without restriction, or (c) we independently develop without reference to your Confidential Information.

9. Third-Party Links and Services

We are not responsible for the content or practices of third-party websites or services linked to our platform.

10. Disclaimers

The Services are provided "as is" without warranties of any kind. We do not warrant uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, Sevana Health is not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid for Services in the 12 months preceding a claim.

12. Indemnification

You agree to indemnify and hold Sevana Health harmless from claims arising from your violation of these Terms or misuse of the Services.

13. Termination

We may suspend or terminate your account if you breach these Terms. Certain provisions, including confidentiality, limitations of liability, and intellectual property rights, survive termination.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States.

15. Entire Agreement

These Terms, together with our Privacy Policy and any BAA, constitute the entire agreement regarding your use of the Services.
